By engaging with our Web platform, found at www.fabyso.com, in any capacity, or by downloading, installing, or utilizing our mobile and desktop applications, including but not limited to FABYSO, FABYSO NEWS, FABYSO REPORTS, FABYSO BLOGS", or by interacting via the chatbot or any other affiliated websites or applications linked to Fabyso (hereinafter collectively referred to as "Fabyso," "We," "Fab," "Us," or "Our"), or by taking affirmative action such as clicking a button to indicate your acceptance of this Agreement, or completing the Fabyso registration process, you assert and affirm the following.

(i) You have reviewed, comprehended, and consented to abide by this Agreement, including any future amendments and supplements made available on Fabyso.com. (ii) You are of legal age in your jurisdiction to enter into a binding contract with Fabyso, and you are at least 18 years old. (iii) If applicable, you possess the requisite authority to enter into this Agreement personally, or on behalf of any company, organization, or other legal entity you represent during the account registration process, and you are duly authorized to bind that entity to this Agreement.

(ii) The terms "you," "user," and "users" encompass all individual members and other individuals accessing or utilizing our services, including, but not limited to, any companies, organizations, or other legal entities registering accounts or accessing or using the services through their respective employees, agents, or representatives. The terms "you," "user," and "users" encompass all individual members and other individuals accessing or utilizing our services, including, but not limited to, any companies, organizations, or other legal entities registering accounts or accessing or using the services through their respective employees, agents, or representatives. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE WEBSITE, THE SERVICES, OR THE APPLICATIONS.”

Definitions and Scope

Device encompasses various electronic gadgets, including but not limited to mobile devices, computers, computer systems, and laptops accessible via web browsers on platforms such as Mac, Linux, Android, iOS, and Windows.

User Data encompasses any information provided, generated, or collected by users during their interaction with our services. This includes, but is not limited to, personal information, preferences, usage patterns, and any other data relevant to the provision of our services and the user experience."

Intellectual Property Rights encompass, but are not limited to, copyrights, patents, trademarks, trade secrets, and related rights concerning the App and associated documents. These rights shall remain the exclusive property of Fabyso.

Third parties comprise a wide range of entities, including buyers, sellers, customers, distributors, market participants, analytics and search engine providers, as well as payment providers.

Content refers to all information transmitted publicly or privately through our services, covering areas such as News, Articles, Trade Fairs & Events, Fashion, Sustainability, and Interviews.

Membership includes various tiers such as Free Membership, Basic Membership, Premium Membership, and Pro Membership.

User Requirements & Responsibilities

To use our services, you must:

• Be at least 18 years old, or if you are under 18, you must contract with us through your legal guardian.
• Agree/Confirm to the Terms and complete the registration process.
• Provide accurate, complete, and current information.
• Have proper authorization if registering as a business entity or representing one, and have the authority to bind that entity to this Agreement.
• if using a free account, you can create profile but won't have access to Buyer Contact/Connect, similarly for Ancillaries, Ancillaries and Services search criteria will be limited.
• Basic registration on the website is free; browsing is free unless explicitly stated otherwise or under membership plans.

Fabyso reserves the right to introduce new services and modify existing ones at its discretion. By using our services, you confirm that you meet these requirements and agree not to use our services in violation of any laws or regulations. Fabyso retains the right to refuse service, close accounts, and change eligibility criteria at any time.

Supplemental terms , Privacy Policy and Termination

Fabyso reserves the right to terminate any terms or services, or cease offering or deny access to services, for any reason, at any time.

Supplemental Terms may apply to specific services, activities, or promotions, and will be periodically published on our platform. These terms are additional to and form part of the Terms and Conditions of Use, prevailing in case of conflicts.

You are prohibited from, selling, redistributing, or sublicensing the user profile or any form of data. Additionally, copying, decompiling, reverse engineering, or disassembling the Apps, Website, or our services is strictly forbidden.

Our Privacy Policy governs the collection and use of personal information in connection with our services. In the event of new legislation or amendments affecting data governance, certain clauses of this Agreement may be updated or removed without notice to comply. We advise reviewing this Agreement periodically.

Our services may include links to third-party websites, applications, and advertisements collectively referred to as "Third-Party Websites & Advertisements."

You won't receive any notification when accessing Third-Party Websites, Apps, or Advertisements. Fabyso does not control these entities and is not responsible for their content.

Your use of Third-Party Websites & Advertisements is at your own risk. It's advisable to review their terms and policies before engaging in any transactions.

We are not responsible for the availability or accuracy of these links, nor for the content, products, or services offered.

When accessing our services via applications developed for platforms like Apple iOS, Android, or Tizen, you acknowledge third-party beneficiaries. Regarding app stores, the availability of our apps is dependent on third- party platforms such as the Apple App Store or Google Play Store. Fabyso is solely responsible for the webplatform and it’s services, and you agree to comply with all applicable third-party terms and any contractual payment fees in the mode of subscription.

Usage Guidelines and Prohibited usage

Do not upload or transmit content that violates privacy, intellectual property, or other proprietary rights owned by us or any other party.

Do not transmit viruses, Trojan horses, worms, malicious code, or any harmful or destructive content.

Do not violate this Agreement or any applicable law or regulation, including laws regulating unsolicited email or electronic advertising.

Do not attempt to probe, scan, test, re-engineer, or violate the security features of our services or associated systems or networks, or gain unauthorized access to stored materials or information.

Do not exploit or depict minors in a sexual manner, promote adult sexual services, or engage in the sale of drugs, alcohol, tobacco, firearms, or other hazardous materials, including hate speech.

Do not remove copyright, trademark, or other proprietary notices from any part of the services.

Do not use meta tags, hidden text, or metadata with our trademark, logo, URL, or product name without our written consent.

Do not forge TCP/IP packet headers or alter source-identifying information in emails or newsgroup postings.

Do not share your password, grant access to your account, sell your username, or transfer it for compensation.

Do not encourage or assist others in engaging in any prohibited activities listed here. Do not interfere with the use of the services in any other manner not explicitly mentioned.

Do not deploy programs or scripts for scraping, indexing, surveying, or data mining any part of the services, or disrupt the operation or functionality of any aspect of the services.

Do not attempt to gain unauthorized access to or disrupt any aspect of the services, its related systems, or networks.

Do not engage in money laundering or any other unlawful act concerning the services.

No fraudulent activities or sale of counterfeit or stolen items.

Respect intellectual property rights; don't infringe on patents, trademarks, copyrights, or trade secrets.

Adhere to all applicable laws and regulations; no violations of statutes, ordinances, or regulations.

Don't introduce viruses or malicious code that can disrupt or harm computer resources.

Avoid linking to or describing goods or services prohibited under relevant laws such as the Drugs and Cosmetics Act, 1940, and the Indian Penal Code, 1860.

Do not host, display, upload, or share content that belongs to others without permission, or that is harmful, harassing, defamatory, obscene, or otherwise unlawful.

We reserve the right to fully cooperate with law enforcement investigations of any violation of this Agreement and to terminate your use of the services for engaging in prohibited activities.

Membership Registration and User Account Responsibilities

To utilize the full range of our services, you must create and maintain an active membership services account ("Account"). You must be at least 18 years old; please refer to our Privacy Policy for details. We hold no liability if this condition is violated under any legislation, regulation, or rules.

Account registration entails providing Fabyso with personal information, including your name, address, contact details, industry, company, title/designation, and financial data.

You agree to keep your account information accurate, complete, and up- to-date. Failure to do so may result in the inability to access our services or termination of these Terms by Fabyso.

You are accountable for all activity occurring under your account, whether it's a free or registered membership. Maintain the security and confidentiality of your account credentials at all times.

Payment Term and Responsibilities

As a paid member, you agree to cover all applicable Subscription Fees for your usage. Fees paid through third parties are governed by their respective Terms and Conditions, for which we hold no responsibility. Any sales or use taxes linked to these fees or your service usage are your responsibility.

Should we fail to receive your payment, your paid membership will revert to a free membership status until payment is received. You acknowledge ongoing responsibility for membership payments until termination or expiration, even if you cease service usage. Membership payments are non-refundable.

All payments made via credit card, wire transfer, demand draft, or cheque are non-refundable and non-transferable. You or your company opt to register on an "as is" and "as available" basis for various memberships, selecting payment methods like wire transfer, bank transfer, PayPal, Razorpay, or online credit card payments

Intellectual Property and Usage disclaimer

The content presented on our services is protected by copyright laws and belongs to us. This includes the service's name, original content, features, and functionality, all of which are safeguarded by copyright, trademark, patent, and other intellectual property rights. Unauthorized copying, distribution, modification, or creation of derivative works is strictly prohibited without our written consent.

Your use of the services or this Agreement does not grant you any ownership rights to our copyrights, trademarks, patents, or other intellectual properties.

FABYSO trademarks and service marks should only be used in connection with our provided products or services. Any use that may cause confusion, tarnish, dilute, or discredit our marks is prohibited.

Using research reports or information from FABYSO is at your own risk. We are not liable for any consequences, and it's your responsibility to ensure that the products, services, or information meet your requirements.

Market intelligence reports are for reference purposes only. Users are solely responsible for decisions made based on this information.

We do not guarantee the accuracy of data or information provided in reports, country profiles, or articles. Users are advised to exercise discretion when using this information.

Liability Disclaimer and Platform Overview

We do not act as representatives for buyers or sellers in specific transactions and do not charge commissions for facilitating transactions. Our model operates on a subscription basis for suppliers.

We do not exercise control over the quality, safety, legality, or availability of products or services listed on our website, nor can we guarantee the ability of suppliers to fulfill a sale or buyers to complete a purchase. Users should be aware of the potential risks of dealing with individuals acting under false pretenses.

While we employ various techniques to verify user-provided information for accuracy and authenticity, complete verification is not always possible.

We encourage users to independently evaluate potential transaction partners.

Users acknowledge and accept the risks associated with transactions conducted on our platform, including subsequent activities related to purchased products or services.

Termination of Service and Obligations

We reserve the right to terminate or suspend your access to our services at any time, without prior notice or liability, for any reason, including breach of our Terms and Conditions of Use or suspicion of fraudulent activity.

If your access is terminated, including account suspension, your rights to use our services and associated information will cease immediately and may result in forfeiture.

Termination does not absolve you of any obligations accrued prior to termination or limit liability to FABYSO or third parties.

Changes to Terms & Conditions

FABYSO reserves the right to modify the Terms of this Agreement or its policies at any time, effective upon posting of an updated version of this Agreement on its services. You should regularly review this Agreement, as your continued use of the services after any such changes constitutes your agreement to such changes.

Governing Law and Liability

This Agreement and any disputes arising from it will be governed by the laws of India, applicable to agreements made and performed entirely within India, disregarding choice of law or conflicts of law principles. The holding company INDUSTRY ACCESS will bear all liabilities as outlined in this Agreement.

Compliance and Indemnification

You assure that your use of our services adheres to all relevant laws and regulations, refraining from any unlawful or discriminatory activities, in line with Indian commerce laws.

You are responsible for compliance with regulations, data protection, electronic communication, and privacy laws applicable to the countries where you send communications through our services.

You agree to indemnify us and bear any losses, including attorney fees, arising from your breach of these warranties.

Arbitration Agreement and Opt-out option

You and FABYSO agree to resolve all disputes through arbitration conducted by a neutral arbitrator appointed by us, granting the authority to award damages and relief equivalent to a court.

Arbitration under these terms is limited to individual cases, excluding class arbitrations, class actions, and similar proceedings.

In the event of an unenforceable provision, the arbitration terms will remain valid, excluding any class or representative arbitration.

Disputes will be resolved through binding individual arbitration administered under the Arbitration and Conciliation Act, 1996, with hearings conducted in India or another mutually agreed location.

The arbitrator has exclusive authority over disputes concerning the interpretation, applicability, or formation of this Agreement. The decision is final and binding, and the arbitrator may grant relief as per applicable law and this Agreement.

You have the option to opt out of this Arbitration Agreement within 30 days of becoming subject to it. Opting out requires written notification to support@fabyso.com, maintaining the remainder of this Agreement's applicability.

This Agreement does not affect separate agreements between you and FABYSO regarding employment or contractor status.

Notice and Assignment Provisions

FABYSO reserves the right to provide notice through general notices on the Services or via email to your provided email address. You may notify FABYSO via email atsupport@fabyso.com.

General: You may not transfer or assign these Terms without prior written approval from FABYSO. However, you consent to FABYSO's ability to transfer or assign these Terms, including to subsidiaries, affiliates, or acquirers. No joint venture, partnership, employment, or agency relationship arises between you, FABYSO, or any third-party provider due to your use of the Services.

Service Enhancement ands Updates

FABYSO reserves the right to periodically offer enhancements or improvements to the features and functionality of its services, including patches, bug fixes, updates, upgrades, and other modifications collectively referred to as "Updates."

These Updates may alter or remove certain features or functionalities of the services. You acknowledge that FABYSO is not obligated to provide Updates or maintain specific features or functionalities.

By accepting these Terms, you acknowledge that all Updates are considered integral parts of the services and are subject to the terms outlined in this Agreement
